TERMS OF SERVICE & COMMERCIAL AGREEMENT

1. Introduction & Scope

Welcome to Nortix (“Nortix”, “we”, “us”, “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Nortix regarding your use of the Nortix desktop launcher, website, marketplace, and related services (collectively, the “Services”).

By installing the launcher, creating an account, or making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility & Age Requirements

2.1 Minimum Age

You must be at least 13 years of age to access or use the Services. If you are under 13, you are strictly prohibited from using the Service.

2.2 Purchasing Eligibility

To make purchases on the Nortix Marketplace (including "Shards" or Partner Products), you must be either:

  • The age of majority in your jurisdiction of residence; or
  • Using the Services with the explicit consent and supervision of a parent or legal guardian.

3. Account Registration & Security

3.1 Account Creation

Access to certain features requires an account. You agree to provide accurate, current, and complete information during the registration process.

3.2 Credentials & Security

You are solely responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities, financial or otherwise, that occur under your account.

4. Payment Processing & Merchant of Record

4.1 Nortix is Not the Merchant of Record

You expressly acknowledge and agree that Nortix is NOT the Merchant of Record (MoR) for transactions conducted through the Services. Nortix acts solely as a technical intermediary and platform provider.

4.2 Third-Party Processors

All financial transactions are processed by authorized third-party Merchants of Record (e.g., Creem.io, Stripe, Xsolla, or individual game server operators).

  • When you make a purchase, your contractual relationship for the transaction is with the applicable Third-Party MoR, not Nortix.
  • You are subject to the Terms of Service and Privacy Policy of the respective payment processor in addition to these Terms.

4.3 Taxes & Fees

The Third-Party MoR is responsible for collecting, remitting, and reporting all applicable sales taxes, VAT, and other government levies.

5. "Shards" Virtual Currency System

Nortix operates a proprietary virtual currency system known as "Shards."

5.1 Nature of Shards

"Shards" are not a personal property right, cryptocurrency, or real-world currency. They represent a limited, non-exclusive, non-transferable, revocable license to access designated digital features or content within the Nortix ecosystem.

5.2 Acquisition Types

  1. Paid Shards: Purchased via Third-Party MoRs.
  2. Free Shards: Granted to the user for free (e.g., quests, rewards).

5.3 Expiration of Free Shards

Free Shards are subject to expiration. If a user does not log in or utilize their account for a period of ninety (90) days, any balance of Free Shards may automatically expire. Paid Shards do not expire unless the account is terminated.

5.4 No Withdrawals

Shards cannot be redeemed for cash, refunded to a bank account (except as provided in Section 7), or exchanged for real-world value.

6. Digital Delivery Policy

Delivery is deemed complete the moment the content is provisioned to your account or the "Shards" are credited to your balance. In rare cases of technical delays, delivery may take up to 24 hours.

7. Refund Policy

This policy applies to the extent permitted by the Third-Party Merchant of Record. In the event of a conflict, the MoR's refund policy may take precedence.

7.1 "Shards" Currency Refunds

  • Unspent Shards: You may request a refund for unspent Shards within 14 days of the original transaction date.
  • Spent Shards: Once Shards have been used to purchase an item, unlock a feature, or support a creator, they are non-refundable.
  • Partial Use: If a Shard pack is partially used, only the remaining unspent balance is eligible for a refund.

7.2 Platform Cosmetics (Nortix Direct)

  • 48-Hour Guarantee: You may request a refund for Platform Cosmetics (skins, capes, themes) within 48 hours of purchase for any reason ("No Questions Asked"), provided the item has not been modified or banned for abuse.
  • After 48 Hours: No refunds will be issued.

7.3 Third-Party Server Items (Marketplace)

  • Undelivered/Unclaimed Items: Eligible for a full refund within 14 days of purchase if the item has not been claimed, activated, or delivered in-game.
  • Delivered Items: Once an item has been delivered to your in-game inventory, it is non-refundable.
  • Exception: If a delivered item is critically defective, please contact Support.

7.4 Refund Processing

Refund requests must be submitted to support@Nortix.net. Approved refunds will be processed by the Third-Party MoR to the original payment method.

8. Chargebacks & Payment Disputes

8.1 Prohibition on Chargebacks

You agree to resolve all disputes directly with Nortix Support. Initiating a chargeback without first contacting Support is a violation of these Terms.

8.2 Consequences of Chargebacks

If a chargeback is filed against a transaction on your account:

  1. Immediate Suspension: Your Nortix account will be automatically suspended pending investigation.
  2. Asset Revocation: All Shards, items, and ranks associated with the disputed transaction will be removed.
  3. Blacklisting: You may be blacklisted from using Nortix and associated payment providers in the future.

9. Enforcement & Account Actions

9.1 Right to Terminate

Nortix reserves the right to suspend, restrict, or terminate your access to the Services, and to remove any Shard balances, without warning, if we have reasonable belief that you are:

  • Engaging in suspicious payment activity.
  • Attempting to defraud the refund system.
  • Violating these Terms of Service.

9.2 Zero Liability for Bans

Nortix is not liable for any loss of value, Shards, or items if your account is terminated due to a violation of these Terms.

10. Third-Party Partner Products

10.1 Role of Nortix

We provide a marketplace for "Partner Products" (ranks, items). Nortix does not guarantee the performance, uptime, or quality of third-party servers.

10.2 Risk of Server Closure

You acknowledge that third-party servers are operated by independent entities. Nortix is not liable if a Partner Server shuts down, resets, or bans you, rendering purchased items unusable.

11. Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS ARE PROVIDED "AS IS". NORTIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORTIX SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. NORTIX'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO NORTIX IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Nortix from any claims arising out of your violation of these Terms or your use of the Service.

14. Privacy & Data Protection

We process personal data, including payment information, in accordance with our Privacy Policy. We adhere to PCI-DSS standards.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Insert Country]. Any dispute shall be settled by the competent courts of [Insert City/Jurisdiction].

16. Sanctions & Anti-Fraud

You represent that you are not located in a country subject to government embargo or listed on any prohibited parties list. We utilize automated systems to detect fraud and may require identity verification (KYC) for suspicious transactions.
