CONTENT CREATOR TERMS & MARKETPLACE LICENSE

1. Scope & Automatic Acceptance

By uploading content to the Nortix Marketplace, you (“Creator”) agree to these Terms. This agreement applies to both paid and free content.

2. Permitted Content Types

Creators may only upload: Cosmetics (Skins, Capes, UI), Technical Assets (Plugins, Scripts), World Assets (Maps, Schematics), and Server Access (Verified Ranks).

3. Commercial Status & Revenue Ownership

3.1 Nortix as Primary Licensor

Nortix acts as the exclusive reseller and primary licensor. Creators do not own user-generated revenue; all gross revenue is the legal property of Nortix Labs. Nortix owes the Creator a contractually defined payout.

3.2 Revenue Share & "Net Revenue"

Creators are eligible for a Royalty Payout of 85% of Net Revenue.

• "Net Revenue" means Gross Revenue less Merchant of Record (MoR) fees, applicable taxes (VAT/Sales Tax), refunds, chargebacks, and currency conversion costs.

4. Prohibitions: P2W, Gambling & Luck

Zero-tolerance policy. Violation may result in an immediate permanent ban and forfeiture of all funds:

• Luck-Based/Gambling: No lootboxes, mystery rewards, or "chance-based" mechanics.
• P2W Content: No items providing mechanical advantages in competitive play.
• Compliance: Products must comply with all payment processor Acceptable Use Policies.

5. Security Hold & Payouts

5.1 Security Hold Period (14+ Days)

Revenue is subject to a minimum 14-day security hold. Payouts are issued on the 15th of each month via Wise, Bank Transfer, or Crypto.

5.2 Negative Balances

If a Creator’s balance is insufficient to cover a refund or chargeback, future payouts will be withheld until the negative balance is resolved.

6. Refunds & Chargeback Protections

6.1 Deduction Policy

Refunds and chargebacks occurring within the 14-day hold period are deducted from "Pending" earnings.

6.2 No-Fee Protection

Nortix will not charge the Creator additional administrative fees for processing refunds or chargebacks; only the original royalty amount is reversed.

7. Warranties & DMCA

The Creator represents and warrants that they own or have full rights to distribute all uploaded content. You must comply with the DMCA or equivalent international copyright frameworks and Turkish IP laws.

8. Termination & Forfeiture

8.1 Discretionary Termination

Nortix may, in its sole discretion to the extent permitted by law, terminate an account for any breach. Termination alone does not result in forfeiture unless Section 8.2 applies.

8.2 Forfeiture for Cause

In cases of fraud, illegal content, or IP infringement, Nortix may forfeit pending payouts to the extent reasonably necessary to offset legal liabilities, penalties, and damages.

9. Survival & Governing Law

9.1 Survival

Sections 3, 5, 6, 7, and 8 shall survive termination of this Agreement.

9.2 Jurisdiction

This agreement is governed by the laws of Türkiye. Disputes shall be settled in the courts of Samsun, Türkiye.
